enterprise edition EULA

This End User License Agreement ("EULA") governs the use of Okommerce Enterprise Edition ("Software") provided by Royex Technologies LLC ("Royex").

1. license grant

Subject to the terms of this EULA and the payment of applicable fees, Royex grants the customer a non-exclusive, non-transferable license to install and use the Software for the customer's internal business operations.

2. fees

Enterprise Edition is licensed at $12,000 (USD) one-time setup fee plus $5,000 (USD) per year for support and updates. Fees are non-refundable except as expressly stated.

3. restrictions

The customer may not: redistribute the Enterprise modules; reverse-engineer the AI agent training; remove copyright notices; use the Software for benchmarking or competitive analysis without consent.

4. support

Royex provides 24/7 SLA support for Production Down (P1) issues with a 1-hour response time, P2 issues with 4-hour response time, and P3 issues within 1 business day.

5. data ownership

Customer retains all rights to its data. Royex never claims ownership of customer data and will export it on demand at any time during or after the contract term.

6. termination

Either party may terminate with 90 days written notice. On termination, Royex will provide a 30-day data export window.

7. governing law

This EULA is governed by the laws of the United Arab Emirates. Disputes will be resolved in the Dubai International Financial Centre courts.
